1. Introduction
Welcome to Orqit.
These Terms of Service ("Terms") govern your access to and use of the websites, applications, software, products, and services provided by Orqit Technologies Private Limited. By accessing or using Orqit Services, you agree to be bound by these Terms.
If you do not agree with these Terms, you must not access or use the Services.
2. Services
Orqit provides business management and workflow automation solutions including but not limited to:
- Ticket Management
- Asset Management
- Attendance Management
- Project Management
- User Management
- Reporting and Analytics
- Workflow Automation
- Integrations and Extensions
Services may be provided through:
Cloud Deployment (SaaS)
Hosted and managed by Orqit.
On-Premise Deployment
Installed and operated within customer-managed infrastructure.
3. Eligibility
You must:
- Be at least 18 years of age.
- Have authority to represent your organization.
- Comply with all applicable laws and regulations.
4. User Accounts
Customers are responsible for:
- Maintaining account confidentiality.
- Managing user access.
- Protecting passwords and credentials.
- Activities performed under their accounts.
Orqit is not liable for unauthorized account access resulting from customer negligence.
5. Subscription and Licensing
Access to Orqit may require:
- Subscription licenses
- Annual maintenance agreements
- Enterprise contracts
- Professional services agreements
License rights are limited, non-exclusive, non-transferable, and revocable.
6. Cloud Services
For Cloud Deployments:
- Infrastructure is managed by Orqit or its hosting providers.
- Customers access the Services via the internet.
- Availability targets may be governed by a separate Service Level Agreement (SLA).
While Orqit strives for high availability, uninterrupted service cannot be guaranteed.
7. On-Premise Deployments
For On-Premise Deployments:
- Customers are responsible for servers, networking, storage, backups, security, and operating systems.
- Customers are responsible for maintaining supported infrastructure.
- Orqit is not responsible for outages, performance issues, data loss, or security incidents arising from customer-managed environments.
Support obligations for on-premise installations shall be governed by the applicable support agreement.
8. Customer Data Ownership
Customers retain ownership of all:
- Tickets
- Assets
- Projects
- Attendance records
- Attachments
- Reports
- Configuration data
Orqit does not claim ownership of customer data.
Customers are solely responsible for the accuracy, legality, and integrity of submitted data.
9. Acceptable Use
Customers and users shall not:
- Upload malicious software.
- Attempt unauthorized access.
- Reverse engineer the software.
- Interfere with system operations.
- Circumvent security controls.
- Use the Services for illegal activities.
- Transmit harmful, abusive, or unlawful content.
Violation may result in suspension or termination.
10. Integrations and Third-Party Services
Orqit may integrate with:
- Microsoft Teams
- Slack
- Azure AD
- LDAP
- Email systems
- Third-party applications
Orqit is not responsible for:
- Third-party outages
- Third-party data loss
- Changes made by third-party providers
- Compatibility issues caused by external services
Use of third-party services is subject to their respective terms and policies.
11. Attendance and Workforce Management Disclaimer
Orqit provides attendance tracking and workforce management tools.
Customers remain solely responsible for:
- Payroll calculations
- Compliance with labor laws
- Employee disputes
- Overtime calculations
- Attendance approvals
Orqit shall not be liable for employment-related decisions made using information generated by the Services.
12. Asset Management Disclaimer
Asset records are maintained based on information provided by customers.
Orqit does not verify:
- Ownership
- Asset value
- Asset condition
- Asset location
Customers are responsible for maintaining accurate asset records.
13. Security
Orqit implements commercially reasonable security measures.
Customers are responsible for:
- User access controls
- Password policies
- Endpoint security
- Internal security practices
No system can guarantee absolute security.
14. Backups
Cloud Services
Orqit may perform periodic backups according to internal operational procedures.
On-Premise Services
Customers are fully responsible for backup and recovery operations unless otherwise agreed in writing.
15. Confidentiality
Both parties agree to protect confidential information disclosed during the course of business.
Confidential information shall not be disclosed to third parties without authorization unless required by law.
16. Intellectual Property
All rights related to:
- Source code
- Software architecture
- Documentation
- Logos
- Trademarks
- User interfaces
remain the exclusive property of Orqit Technologies Private Limited.
These Terms do not transfer ownership of any intellectual property.
17. Service Suspension
Orqit may suspend access if:
- Subscription fees remain unpaid.
- Security threats are detected.
- Abuse of the Services occurs.
- Legal requirements require suspension.
- These Terms are violated.
18. Termination
Either party may terminate the Services according to applicable agreements.
Upon termination:
- Customer access may be revoked.
- Data export opportunities may be provided.
- Data retention periods may apply.
19. Limitation of Liability
To the maximum extent permitted by law, Orqit shall not be liable for:
- Indirect damages
- Consequential damages
- Lost profits
- Business interruption
- Data loss
- Revenue loss
- Reputation damage
In no event shall Orqit's total liability exceed the fees paid by the customer during the twelve (12) months preceding the claim.
20. Indemnification
Customers agree to defend, indemnify, and hold harmless Orqit against claims arising from:
- Customer data
- Customer misuse
- Violations of law
- Violations of these Terms
21. Force Majeure
Orqit shall not be liable for delays or failures caused by:
- Natural disasters
- Power outages
- Internet failures
- Government actions
- Labor disputes
- Cyber attacks beyond reasonable control
22. Changes to Services
Orqit may modify, improve, replace, or discontinue features at any time.
Reasonable efforts will be made to communicate material changes.
23. Governing Law
These Terms shall be governed by and construed under the laws of India.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

These Terms, together with the Privacy Policy, applicable Subscription Agreement, Data Processing Agreement (DPA), and Service Level Agreement (SLA), constitute the entire agreement between the parties regarding the Services.
